How would an American obtain equity in a Russian company (an iPhone application)?
I'm going to help with marketing for this company, but I need to figure out how to get equity. The owner is willing to give me 12 percent of the company if I can figure this out.
How much would I have to pay a lawyer (or whoever knows about this kind of stuff) to help me figure this out? Would I need to pay them upfront?
Your problem is that the rule of law is very weak in Russia. You only have to look at the history of some recent transactions to see that it is incredibly easy for a Russian company to just strike someone off the shareholder register. Representation by all the Russian lawyers in the universe will not protect you.
Work for cash unless you hold something as security like copyright. If they can cheat you they will, and they can. Let some other fool put cash into the company. Then get paid out of that.
