I'm not sure what you are actually asking. If you want to know what will happen if you upgrade the IOS on a locked phone? (locked is the way they come to you from the phone company) It will update and operate under the newer IOS. If you mean on an unlocked (jail broken) phone? It's hard to say. Some have had no problem updating, while others have had crashes and problems. It looks like it depends on how well the unlocking was done and what parts of the old IOS were corrupted.
Under the newer IOS, some of your old apps will need to be updated to work and depending on the IOS you are going from and to, you may need to use a newer version of iTunes to sync with your iPhone. (That can cause problems if the OS in your computer is older and unable to run the newer version of iTunes.)
